Working with members of your board, we deliver independent board evaluations through structured interviews, questionnaires and collective dialogue. We provide written reports containing genuine insights on how your board is functioning and recommendations to improve effectiveness. Where necessary, we partner with you to implement those recommendations in a practical and cost-efficient manner.

We provide independent assessments of, and reporting on, your compliance with regulator-imposed governance codes.

We work with institutions and families to establish and implement governance, reporting and oversight frameworks. In each instance, we look to understand the real governance needs of our clients and to identify practical ways of achieving an appropriate balance between delegation, accountability and oversight. We ensure that those bearing responsibilities have clear terms of reference and the authorities needed to execute their functions.

We work with clients to identify and understand circumstances giving rise to conflicts of interest. We design and implement conflict management procedures, registers and disclosures and have significant experience at constructing, documenting and implementing ethical barriers and other conflict management tools.

We work with directors, company secretaries and other officers to ensure that those responsible for making decisions are consistently provided with the information and support needed to reach the correct conclusions. As experienced directors, we understand what is needed to ensure that senior decision makers consider all (and only) relevant considerations. We have a deep understanding of what is required to justify material decisions and our agendas, minutes and recording keeping frameworks are intended to provide a practical means of documenting ad defending such decisions and the basis on which have been reached.

We work with clients to identify the extent of core income generating activities they or their clients undertake. We then seek to ensure that appropriate economic substance can be demonstrated in the relevant jurisdiction. We have significant experience of managing client vehicles with economic substance exposure and reporting obligations and of developing substance assessments, risk registers and other tools for managing complex substance issues.
